Either party may terminate this Agreement for convenience upon sixty (60) days' prior written notice to the other party. Fees paid in advance for the terminated period will be refunded on a pro-rata basis.

The Provider's aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the event giving rise to the claim.

Each party shall maintain the confidentiality of the other party's Confidential Information for a period of three (3) years following disclosure, using no less than a reasonable standard of care.
